Position Summary:

 

The Associate General Counsel will be part of a team of lawyers dedicated to Churchill Asset Management, Nuveen’s private markets fund and lending business. As a member of the Churchill team, this individual will assist Churchill’s lead counsel and business teams in a wide variety of investment transaction and capital markets matters with respect to middle market senior loans and other middle market asset classes. The ideal candidate will have deep knowledge and experience with traditional middle market senior loan financings, including unitranche facilities. Experience with second lien and mezzanine financings is considered a plus. The role is designed to work closely with origination and underwriting teams on deal sourcing and structure, including the preparation and negotiation of commitments and term sheets. The individual will work with Nuveen investment attorneys during the documentation and workout phases of transactions as well. Over time, the ideal candidate would have the opportunity to expand his/her duties to assist Churchill’s lead counsel with corporate, regulatory and product matters impacting the Churchill business, and to provide day-to-day coverage for subscription finance and asset-backed financings in connection with fixed income funds and products.

 

Major Responsibilities:

 
  • Assist with the review, drafting, negotiation and management of a wide variety of transaction documents, such as commitment letters and term sheets, credit and security agreements and related documents.
  • Work closely with origination and transaction teams on deal structuring and best practices.
  • Work closely with Nuveen investment attorneys on final deal documentation and closings.
  • Assist Churchill lead counsel with capital markets regulatory matters, as well as subscription facilities, asset-backed facilities and related fund financings.
  • May be asked to assist with various general corporate matters, including matters related to corporate governance and structure.

 

Qualifications:

Required:
  • 3+ years of experience with a major law firm and/or an in-house legal department.
  • JD degree from a nationally recognized law school and member in good standing of a state bar.
  • Experience with private- and middle-market financings and capital markets.
 
 

Desired:

  • Familiarity with federal securities laws, investment advisory laws (e.g., the Investment Advisers Act), anti-money laundering rules and regulations, and related laws.
  • Strong verbal and written communication skills, interpersonal skills and organizational skills.
  • Ability to work both collaboratively and independently.
  • Advanced problem solving and prioritization skills.
